We wish to fill the vacant position of a Legal Officer- Conveyancing, Company Secretarial, Governance, Tenancy, and Commercial Matters on Fixed Term Contract Basis to be based in Nairobi.

Position Summary:
Reporting to the Group Company Secretary & Legal Affairs Manager, the position holder will be responsible for provide comprehensive legal support across various functions, including conveyancing, company secretarial duties, governance, tenancy, commercial matters and reporting. This role is essential in ensuring legal compliance, managing risks, and protecting the organization’s interests.
Key Duties/ Responsibilities
1. Conveyancing:
- Handle all aspects of property transactions including sales, purchases, leases, and transfers.
- Draft, review, and finalize conveyancing documents including agreements for sale, transfer documents, leases, and licenses.
- Conduct due diligence on property titles to verify ownership and ensure clear title before transactions.
- Ensure compliance with relevant laws and regulations governing property transactions.
- Manage the registration of property titles and related documentation with relevant authorities.
2. Company Secretarial and Governance:
- Assist in ensuring that the company complies with statutory and regulatory requirements and maintains high standards of corporate governance.
- Assist in the preparation and organization of board meetings, draft resolutions, and minutes, and ensure timely distribution of meeting materials.
- Assist in the maintenance and update of statutory records and registers, and ensure timely filing of statutory returns.
- Facilitate the incorporation, registration, deregistration, or dissolution of entities as required.
3. Tenancy and Leasing:
- Draft, review, and negotiate lease agreements for commercial and residential properties.
- Manage tenant relationships, address disputes, and ensure compliance with lease terms.
- Provide legal support in property management matters including renewals, terminations, and rent reviews.
4. Commercial Matters:
- Review, draft, and negotiate commercial contracts including service agreements, supply contracts, and partnership agreements.
- Provide legal advice on commercial transactions and business operations to ensure compliance and mitigate risks.
- Stay updated on regulatory changes affecting commercial activities and advise on necessary adjustments.
5. Risk Management and Legal Audits:
- Participate in risk management sessions to identify and assess legal risks, developing strategies to mitigate potential liabilities.
- Conduct regular legal audits to ensure compliance with statutory and regulatory requirements, preparing detailed audit reports.
- Undertake research on current legal developments and trends, preparing briefs and updates for the Head of Legal Services.
6. ESG Compliance and Advisory:
- Assist in developing and implementing ESG policies and strategies, ensuring alignment with legal requirements and best practices.
- Monitor and ensure compliance with ESG regulations and standards, advising on necessary adjustments.
- Identify and mitigate ESG-related risks, conducting regular assessments and audits.
- Engage with stakeholders on ESG matters, providing guidance and facilitating effective communication.
- Prepare ESG reports and documentation, contributing to transparency and accountability.
7. Training and Development:
- Conduct awareness training sessions on legal compliance, conveyancing, company secretarial duties, tenancy laws, commercial matters, ESG, and other relevant legal topics.
- Disseminate appropriate legal updates and requirements to staff, fostering a culture of legal awareness and compliance.
- Encourage and participate in continuous learning and professional development activities such as seminars, workshops, and courses.
8. Client Relationship Management:
- Build and maintain strong relationships with internal and external clients, ensuring effective communication and understanding of legal needs.
- Prepare periodic reports for clients and partners, providing updates on legal matters and progress.
- Ensure timely billing and collection of legal fees, managing financial aspects of legal services.
9. Technological Proficiency:
- Utilize legal technology and software to enhance efficiency and effectiveness in legal tasks.
- Stay updated with advancements in legal technology and recommend improvements to legal processes.
10. Report and Reporting
- Monitor and report on legal developments that may affect the organization, providing updates to relevant stakeholders.
- Ensure the maintenance of accurate records of all legal documents, correspondence, and filings.
- Prepare and present accurate legal reports in a timely manner to management as required.
Academic and professional Qualifications and experience required
- Bachelor of Laws (LL.B) Degree from a recognized University.
- Company Secretary (CS) qualification will be an added advantage.
Advocate of the High Court with a current practicing certificate.
Additional qualifications or certifications related to legal practice or specialized areas of law are advantageous

Familiarity with Kenya’s legal framework and regulatory environment.
Minimum of one (1) year post-admission legal work experience in a reputable legal firm or corporate environment.
Experience with Environmental, Social, and Governance (ESG) standards and compliance is preferred.
Proven track record in handling conveyancing, company secretarial duties, governance, tenancy, and commercial matters.
